Overview<\/span><\/h2><p>This Agreement outlines the terms of participation in GroWorth\u2019s Sponsored Micro Enterprise Program (\u201cProgram\u201d). By applying for or registering to receive sponsored access to the Linkedio platform, the applicant (&#8220;you&#8221;, \u201cyour\u201d, or \u201cMicro Enterprise\u201d) <span style=\"font-weight: bold;\">expressly agrees to and accepts<\/span> these terms.<\/p><p>GroWorth may update these terms at any time, and continued use of the sponsored services after such updates constitutes acceptance of the revised terms.<\/p><p>By using our Website, making a donation, subscribing to our services, or accessing Linkedio, you agree to be bound by these <a href=\"https:\/\/groworth.io\/index.php\/terms-and-conditions\/\">Terms of use<\/a>, our <a href=\"https:\/\/groworth.io\/index.php\/groworth\/privacy-policy\/\">Privacy Policy<\/a>, <a href=\"https:\/\/groworth.io\/index.php\/donor-agreement\/\">Donor Agreement<\/a>, <a href=\"https:\/\/groworth.io\/index.php\/return-refund-policy\/\">Return and Refund Policy<\/a>, <a href=\"https:\/\/groworth.io\/index.php\/data-processing-agreement\/\">Data Processing Agreement<\/a>, <a href=\"https:\/\/groworth.io\/index.php\/cookie-policy\/\">Cookie Policy<\/a> and <a href=\"https:\/\/groworth.io\/index.php\/master-services-agreement\/\">Master Services Agreement<\/a>, <a href=\"https:\/\/groworth.io\/index.php\/micro-enterprises-terms-of-agreement\/\">Micro Enterprises Agreement Terms<\/a>.<\/p><h2><span style=\"font-weight: bold;\">2. Nature of Sponsorship<\/span><\/h2><p>2.1 <span style=\"font-weight: bold;\">Nonprofit Program Structure<\/span><\/p><p>GroWorth provides selected Micro Enterprises with sponsored access to Linkedio\u2019s services via monthly allocations of \u201cioTokens\u201d \u2013 digital credits used to automate marketing, sales, and growth enablement services.<\/p><p>2.2 <span style=\"font-weight: bold;\">Source of Sponsorship<\/span><\/p><p>Sponsorship is made possible through a combination of:<\/p><ul style=\"direction: ltr; unicode-bidi: embed; margin-top: 0in; margin-bottom: 0in;\" type=\"disc\"><li style=\"margin-top: 0; margin-bottom: 0; vertical-align: middle;\"><span style=\"font-family: Calibri; font-size: 11.0pt;\">Surplus from paid Linkedio subscriptions;<\/span><\/li><li style=\"margin-top: 0; margin-bottom: 0; vertical-align: middle;\"><span style=\"font-family: Calibri; font-size: 11.0pt;\">External donor and government funding;<\/span><\/li><li style=\"margin-top: 0; margin-bottom: 0; vertical-align: middle;\"><span style=\"font-family: Calibri; font-size: 11.0pt;\">GroWorth\u2019s own limited resources.<\/span><\/li><\/ul><p>2.3 <span style=\"font-weight: bold;\">No Entitlement<\/span><\/p><p>Access to ioTokens through this Program is <span style=\"font-weight: bold;\">not guaranteed<\/span>, not continuous, and not a permanent entitlement. It is provided entirely at GroWorth\u2019s discretion and may be reduced, suspended, or withdrawn at any time.<\/p><p>2.4 <span style=\"font-weight: bold;\">First-Come, First-Serve Allocation<\/span><\/p><p>All sponsored ioTokens are allocated monthly on a <span style=\"font-weight: bold;\">first-come, first-serve basis<\/span>, subject to availability. If the monthly ioToken pool is depleted, you may not receive allocations, regardless of registration or past participation.<\/p><p>2.5 <span style=\"font-weight: bold;\">Last-In, First-Out Principle<\/span><\/p><p>Should available resources be limited, allocations will be reduced starting with the most recent Micro Enterprise sponsorships first.<\/p><p>2.6 <strong data-start=\"3936\" data-end=\"3981\">Disclaimer on Free Access and AI Services<\/strong><br data-start=\"3981\" data-end=\"3984\" \/>Micro Enterprises receive ioToken access on a sponsored basis while funding allows. The Linkedio platform is in Beta and uses AI systems to deliver certain outputs. All features are provided \u201cas is,\u201d and GroWorth makes no representation or warranty of service accuracy or uninterrupted availability. Users agree to validate any AI-generated output before use and assume full responsibility for outcomes.<\/p><h2><span style=\"font-weight: bold;\">3. Program Changes and Termination<\/span><\/h2><p>GroWorth may, at any time and for any reason:<\/p><ul style=\"direction: ltr; unicode-bidi: embed; margin-top: 0in; margin-bottom: 0in;\" type=\"disc\"><li style=\"margin-top: 0; margin-bottom: 0; vertical-align: middle;\"><span style=\"font-family: Calibri; font-size: 11.0pt;\">Adjust the allocation logic, eligibility rules, or scope of sponsored services;<\/span><\/li><li style=\"margin-top: 0; margin-bottom: 0; vertical-align: middle;\"><span style=\"font-family: Calibri; font-size: 11.0pt;\">Reduce or discontinue the Program;<\/span><\/li><li style=\"margin-top: 0; margin-bottom: 0; vertical-align: middle;\"><span style=\"font-family: Calibri; font-size: 11.0pt;\">Replace the sponsorship model with an alternative subsidy or co-payment model.<\/span><\/li><\/ul><h2><span style=\"font-weight: bold;\">4. Acknowledgment of Risk and Waiver of Liability<\/span><\/h2><p>By accepting these terms, you <span style=\"font-weight: bold;\">acknowledge and accept<\/span> the following:<\/p><p>4.1 <span style=\"font-weight: bold;\">Risk of Reduction or Loss<\/span><\/p><p>You understand that the availability of ioTokens may be affected by subscription trends, funding declines, or operational constraints.<\/p><p>4.2 <span style=\"font-weight: bold;\">No Legal Claims<\/span><\/p><p>You <span style=\"font-weight: bold;\">waive any and all rights<\/span> to bring legal claims, actions, or demands of any kind against GroWorth or its affiliates in relation to:<\/p><ul style=\"direction: ltr; unicode-bidi: embed; margin-top: 0in; margin-bottom: 0in;\" type=\"disc\"><li style=\"margin-top: 0; margin-bottom: 0; vertical-align: middle;\"><span style=\"font-family: Calibri; font-size: 11.0pt;\">Changes in token availability or sponsorship terms;<\/span><\/li><li style=\"margin-top: 0; margin-bottom: 0; vertical-align: middle;\"><span style=\"font-family: Calibri; font-size: 11.0pt;\">Delays, reductions, or cancellation of ioToken sponsorship;<\/span><\/li><li style=\"margin-top: 0; margin-bottom: 0; vertical-align: middle;\"><span style=\"font-family: Calibri; font-size: 11.0pt;\">Any losses or disruptions caused by limited or no access to the platform due to lack of tokens.<\/span><\/li><\/ul><p>4.3 <span style=\"font-weight: bold;\">Indemnity<\/span><\/p><p>You agree to indemnify and hold GroWorth harmless against any legal or administrative action arising from your participation in or use of the sponsored services.<\/p><h2><span style=\"font-weight: bold;\">5. Program Usage Rules<\/span><\/h2><p>5.1 <span style=\"font-weight: bold;\">Eligibility<\/span><\/p><p>You must meet GroWorth\u2019s eligibility criteria as a Micro Enterprise and may be required to provide documentation upon request.<\/p><p>5.2 <span style=\"font-weight: bold;\">Non-Transferable<\/span><\/p><p>Sponsored ioTokens are strictly non-transferable and may only be used for your own enterprise\u2019s benefit on the Linkedio platform.<\/p><p>5.3 <span style=\"font-weight: bold;\">Compliance<\/span><\/p><p>You agree to comply with all terms of service, privacy policies, and platform usage rules as defined by GroWorth and Linkedio.<\/p><h2><span style=\"font-weight: bold;\">6. Data and Platform Disclosure<\/span><\/h2><p>6.1 <span style=\"font-weight: bold;\">EU Data Hosting<\/span><\/p><p>You acknowledge and accept that the Linkedio platform is hosted in the European Union (EU) on OVH infrastructure and consent to your data being processed, transferred, and stored in accordance with the Linkedio Privacy Policy.<\/p><p>6.2 <span style=\"font-weight: bold;\">AI and API Integrations<\/span><\/p><p>The Linkedio platform may utilize third-party AI services, including large language models, to process and return content. By participating, you agree to this processing of data via third-party APIs under appropriate safeguards and contractual controls.<\/p><h2><span style=\"font-weight: bold;\">7. Acceptance and Enforcement<\/span><\/h2><p>By submitting an application or registering for the Linkedio platform as a sponsored Micro Enterprise, you:<\/p><ul style=\"direction: ltr; unicode-bidi: embed; margin-top: 0in; margin-bottom: 0in;\" type=\"disc\"><li style=\"margin-top: 0; margin-bottom: 0; vertical-align: middle;\"><span style=\"font-family: Calibri; font-size: 11.0pt;\">Affirm that you have read, understood, and accepted this Agreement;<\/span><\/li><li style=\"margin-top: 0; margin-bottom: 0; vertical-align: middle;\"><span style=\"font-family: Calibri; font-size: 11.0pt;\">Confirm that you are authorized to bind your business to these terms;<\/span><\/li><li style=\"margin-top: 0; margin-bottom: 0; vertical-align: middle;\"><span style=\"font-family: Calibri; font-size: 11.0pt;\">Accept that these terms are legally binding upon submission of your application or registration.<\/span><\/li><\/ul><h2>8. <strong data-start=\"213\" data-end=\"253\">Governing Law and Dispute Resolution<\/strong><\/h2><p class=\"\" data-start=\"255\" data-end=\"415\">This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.<\/p><p class=\"\" data-start=\"417\" data-end=\"898\">Any dispute, controversy or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall first be resolved through good faith discussions between the parties. Failing such resolution, the dispute shall be submitted to and finally resolved by <strong data-start=\"736\" data-end=\"759\">binding arbitration<\/strong> administered by the <strong data-start=\"780\" data-end=\"832\">Arbitration Foundation of Southern Africa (AFSA)<\/strong> in accordance with its rules in force at the time of the dispute.<\/p><ul><li data-start=\"902\" data-end=\"966\">The seat of arbitration shall be <strong data-start=\"935\" data-end=\"965\">Johannesburg, South Africa<\/strong>.<\/li><li data-start=\"969\" data-end=\"1019\">The arbitration shall be conducted in <strong data-start=\"1007\" data-end=\"1018\">English<\/strong>.<\/li><li data-start=\"1022\" data-end=\"1083\">The decision of the arbitrator(s) shall be final and binding.<\/li><\/ul><p class=\"\" data-start=\"1085\" data-end=\"1313\">This clause is consistent with the dispute resolution mechanism used in the <a class=\"cursor-pointer\" target=\"_new\" rel=\"noopener\" data-start=\"1161\" data-end=\"1234\">Volunteer Agreement<\/a> and applies equally to Micro Enterprises benefiting from the Linkedio service.<\/p><p class=\"\" data-start=\"1315\" data-end=\"1451\">You also agree that your use of the Linkedio service is subject to the following agreements, which are hereby incorporated by reference:<\/p><p class=\"\" data-start=\"1454\" data-end=\"1525\"><a class=\"\" href=\"https:\/\/groworth.io\/index.php\/terms-and-conditions\/\" target=\"_new\" rel=\"noopener\" data-start=\"1454\" data-end=\"1525\">Terms of Service<\/a><\/p><p class=\"\" data-start=\"1528\" data-end=\"1600\"><a class=\"\" href=\"https:\/\/groworth.io\/index.php\/groworth\/privacy-policy\/\" target=\"_new\" rel=\"noopener\" data-start=\"1528\" data-end=\"1600\">Privacy Policy<\/a><\/p><p class=\"\" data-start=\"1603\" data-end=\"1688\"><a class=\"\" href=\"https:\/\/groworth.io\/index.php\/master-services-agreement\/\" target=\"_new\" rel=\"noopener\" data-start=\"1603\" data-end=\"1688\">Master Services Agreement<\/a><\/p><p class=\"\" data-start=\"1691\" data-end=\"1776\"><a class=\"\" href=\"https:\/\/groworth.io\/index.php\/data-processing-agreement\/\" target=\"_new\" rel=\"noopener\" data-start=\"1691\" data-end=\"1776\">Data Processing Agreement<\/a><\/p><p class=\"\" data-start=\"1779\" data-end=\"1840\"><a class=\"\" href=\"https:\/\/groworth.io\/index.php\/cookie-policy\/\" target=\"_new\" rel=\"noopener\" data-start=\"1779\" data-end=\"1840\">Cookie Policy<\/a><\/p><p class=\"\" data-start=\"1843\" data-end=\"1908\"><a class=\"\" href=\"https:\/\/groworth.io\/index.php\/donor-agreement\/\" target=\"_new\" rel=\"noopener\" data-start=\"1843\" data-end=\"1908\">Donor Agreement<\/a><\/p><p class=\"\" data-start=\"1911\" data-end=\"1990\"><a class=\"\" href=\"https:\/\/groworth.io\/index.php\/return-refund-policy\/\" target=\"_new\" rel=\"noopener\" data-start=\"1911\" data-end=\"1990\">Return and Refund Policy<\/a><\/p><p class=\"\" data-start=\"1992\" data-end=\"2103\">By using the Linkedio service, you acknowledge and confirm that you are bound by the terms of these agreements.<\/p><p data-start=\"1992\" data-end=\"2103\">\u00a0<\/p><h2><span style=\"font-weight: bold;\">9. Binding Agreement by Use or Submission<\/span><\/h2><p>By submitting any application (including volunteer, donor, micro enterprise, or service provider applications), or by registering, accessing, using, or benefiting from the GroWorth or Linkedio services in any form, you irrevocably agree to the terms of the applicable online agreements published by GroWorth Trust. These include, but are not limited to the above mentioned legal agreements.<\/p><p>Your continued access to any service, platform, or opportunity provided by GroWorth constitutes legal acceptance of all such terms and any amendments posted thereafter.
