GroWorth Donor Agreement

Effective Date: 27 March 2025

1. Introduction

Welcome to GroWorth Trust (“we,” “us,” “our”), a registered Public Benefit Organization (PBO Number: 930082699, Income Tax Reference No: 0845998251). This Donor Agreement outlines the terms under which individuals and organizations (“you”, “your”, “donors”) may contribute financial or in-kind donations to support GroWorth Trust initiatives, including the Linkedio platform and other community development programs.

By using our Website, making a donation, subscribing to our services, or accessing Linkedio, you agree to be bound by these Terms of use, our Privacy Policy, Donor Agreement, Return and Refund Policy, Data Processing Agreement, Cookie Policy and Master Services Agreement.

Disclaimer on Beta Platform
The Linkedio platform is currently under Beta testing. While funds and resources donated may support platform development or Micro Enterprise access to the service, GroWorth provides no guarantee on feature completeness or service availability. Donations are applied in good faith but with no warranty on the outcomes delivered through the evolving platform.

2. Acceptance of Terms

By making a donation to GroWorth Trust, you confirm that you:

  • Are over the age of 18 or authorized to act on behalf of the donor entity;
  • Understand and accept this Donor Agreement;
  • Have read and consent to our Privacy Policy, Terms of Service, and Master Services Agreement.

3. Donation Methods & Processing

We accept donations through the following methods:

  • Fiat Currencies: ZAR via PayFast, PayPal, EFT, or credit/debit card.
  • Cryptocurrencies: Bitcoin and other supported digital assets.

All payment information is securely processed by third-party gateways. GroWorth Trust does not store full payment details. You are responsible for reviewing the terms and privacy policies of the applicable payment processor.

4. Use of Donations

Your donations are used to fund GroWorth Trust initiatives, including:

  • Empowerment programs for SMEs under ZAR 10 million turnover;
  • Community economic development and employment programs;
  • Linkedio platform development, hosting (via OVH in the EU), and SME support;
  • Skills development, training, and outreach.

GroWorth Trust commits to using all donations transparently and exclusively for public benefit purposes as authorized under Section 18A of the Income Tax Act.

5. Donation Receipts & Tax Compliance

GroWorth Trust is authorized to issue Section 18A-compliant receipts. These receipts contain donor and donation details required by SARS. It is your responsibility to retain your receipt and consult with a tax advisor to determine eligibility for tax deductions.

6. Data Privacy for Donors

We collect and process your data in accordance with our Privacy Policy, POPIA, and GDPR (where applicable). Donor data is used only for:

  • Processing donations and issuing receipts;
  • Legal and regulatory reporting;
  • Providing updates (only with your consent);
  • Internal impact and funding reports.

We will not share or sell your personal information to third parties for marketing purposes. You may request updates or deletion of your data by contacting: privacy@groworth.io.

7. Refund Policy

All donations are final and non-refundable. In cases of technical errors, refunds may be issued at the discretion of GroWorth Trust. Contact: funding@groworth.io

8. Acknowledgment and Recognition

Unless you request anonymity, GroWorth may publicly recognize your support on our platforms, reports, or events. You may opt-out at any time.

9. ioTokens and Platform Integration

GroWorth provides ioTokens in exchange for subscription and Top-Up token purchases at a rate of exchange defined on the Platform. ioTokens are utilized within the service for automations. Users elect where and when to spend ioTokens.

By accepting this agreement the subscriber voluntarily donates, in-kind, unused ioTokens at the end of the monthly subscription period.

  • Unused subscription ioTokens are automatically donated to the Micro Entprises ioToken pool, after each subscription period.
  • ioTokens still in credit by the end of the period are voluntarily and automatically donated, in-kind, to the Micro Enterprise ioToken Pool.
  • In-Kind donated ioTokens do not represent a refund, carry-forward, or any retained rights to benefits.

This pool supports micro enterprises with automation capacity on the Linkedio platform at no cost, based on availability, donations, and GroWorth funding. ioTokens are not guaranteed to any specific enterprise or user.

Donors may also choose to sponsor ioToken allocations directly. Top-Up ioTokens purchased by donors or users do not expire while the related annual/monthly subscription remains active.

10. Hosting and Data Jurisdiction

The Linkedio platform and services are hosted in the European Union (EU) on infrastructure managed by OVH. All donor and customer data is processed under the principles of GDPR. By contributing to GroWorth, you acknowledge that your information may be stored and processed in the EU and that appropriate technical and organizational safeguards are in place.

11. Changes to this Agreement

GroWorth Trust reserves the right to modify this Donor Agreement. Updates will be posted on our Website. Continued support after changes signifies acceptance of the revised terms.

12. Binding Agreement by Use or Submission

By submitting any application (including volunteer, donor, micro enterprise, or service provider applications), or by registering, accessing, using, or benefiting from the GroWorth or Linkedio services in any form, you irrevocably agree to the terms of the applicable online agreements published by GroWorth Trust. These include, but are not limited to Clause 14. Governing Law and Dispute Resolution.

Your continued access to any service, platform, or opportunity provided by GroWorth constitutes legal acceptance of all such terms and any amendments posted thereafter. If you do not agree to any of these terms, you must not engage with or benefit from our services.

14. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.

Any dispute, controversy or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall first be resolved through good faith discussions between the parties. Failing such resolution, the dispute shall be submitted to and finally resolved by binding arbitration administered by the Arbitration Foundation of Southern Africa (AFSA) in accordance with its rules in force at the time of the dispute.

  • The seat of arbitration shall be Johannesburg, South Africa.
  • The arbitration shall be conducted in English.
  • The decision of the arbitrator(s) shall be final and binding.

This clause is consistent with the dispute resolution mechanism used in the Volunteer Agreement and applies equally to Micro Enterprises benefiting from the Linkedio service.
