1. Overview
This Agreement outlines the terms of participation in GroWorth’s Sponsored Micro Enterprise Program (“Program”). By applying for or registering to receive sponsored access to the Linkedio platform, the applicant (“you”, “your”, or “Micro Enterprise”) expressly agrees to and accepts these terms.
GroWorth may update these terms at any time, and continued use of the sponsored services after such updates constitutes acceptance of the revised terms.
By using our Website, making a donation, subscribing to our services, or accessing Linkedio, you agree to be bound by these Terms of use, our Privacy Policy, Donor Agreement, Return and Refund Policy, Data Processing Agreement, Cookie Policy and Master Services Agreement, Micro Enterprises Agreement Terms.
2. Nature of Sponsorship
2.1 Nonprofit Program Structure
GroWorth provides selected Micro Enterprises with sponsored access to Linkedio’s services via monthly allocations of “ioTokens” – digital credits used to automate marketing, sales, and growth enablement services.
2.2 Source of Sponsorship
Sponsorship is made possible through a combination of:
- Surplus from paid Linkedio subscriptions;
- External donor and government funding;
- GroWorth’s own limited resources.
2.3 No Entitlement
Access to ioTokens through this Program is not guaranteed, not continuous, and not a permanent entitlement. It is provided entirely at GroWorth’s discretion and may be reduced, suspended, or withdrawn at any time.
2.4 First-Come, First-Serve Allocation
All sponsored ioTokens are allocated monthly on a first-come, first-serve basis, subject to availability. If the monthly ioToken pool is depleted, you may not receive allocations, regardless of registration or past participation.
2.5 Last-In, First-Out Principle
Should available resources be limited, allocations will be reduced starting with the most recent Micro Enterprise sponsorships first.
2.6 Disclaimer on Free Access and AI Services
Micro Enterprises receive ioToken access on a sponsored basis while funding allows. The Linkedio platform is in Beta and uses AI systems to deliver certain outputs. All features are provided “as is,” and GroWorth makes no representation or warranty of service accuracy or uninterrupted availability. Users agree to validate any AI-generated output before use and assume full responsibility for outcomes.
3. Program Changes and Termination
GroWorth may, at any time and for any reason:
- Adjust the allocation logic, eligibility rules, or scope of sponsored services;
- Reduce or discontinue the Program;
- Replace the sponsorship model with an alternative subsidy or co-payment model.
4. Acknowledgment of Risk and Waiver of Liability
By accepting these terms, you acknowledge and accept the following:
4.1 Risk of Reduction or Loss
You understand that the availability of ioTokens may be affected by subscription trends, funding declines, or operational constraints.
4.2 No Legal Claims
You waive any and all rights to bring legal claims, actions, or demands of any kind against GroWorth or its affiliates in relation to:
- Changes in token availability or sponsorship terms;
- Delays, reductions, or cancellation of ioToken sponsorship;
- Any losses or disruptions caused by limited or no access to the platform due to lack of tokens.
4.3 Indemnity
You agree to indemnify and hold GroWorth harmless against any legal or administrative action arising from your participation in or use of the sponsored services.
5. Program Usage Rules
5.1 Eligibility
You must meet GroWorth’s eligibility criteria as a Micro Enterprise and may be required to provide documentation upon request.
5.2 Non-Transferable
Sponsored ioTokens are strictly non-transferable and may only be used for your own enterprise’s benefit on the Linkedio platform.
5.3 Compliance
You agree to comply with all terms of service, privacy policies, and platform usage rules as defined by GroWorth and Linkedio.
6. Data and Platform Disclosure
6.1 EU Data Hosting
You acknowledge and accept that the Linkedio platform is hosted in the European Union (EU) on OVH infrastructure and consent to your data being processed, transferred, and stored in accordance with the Linkedio Privacy Policy.
6.2 AI and API Integrations
The Linkedio platform may utilize third-party AI services, including large language models, to process and return content. By participating, you agree to this processing of data via third-party APIs under appropriate safeguards and contractual controls.
7. Acceptance and Enforcement
By submitting an application or registering for the Linkedio platform as a sponsored Micro Enterprise, you:
- Affirm that you have read, understood, and accepted this Agreement;
- Confirm that you are authorized to bind your business to these terms;
- Accept that these terms are legally binding upon submission of your application or registration.
8. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law principles.
Any dispute, controversy or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall first be resolved through good faith discussions between the parties. Failing such resolution, the dispute shall be submitted to and finally resolved by binding arbitration administered by the Arbitration Foundation of Southern Africa (AFSA) in accordance with its rules in force at the time of the dispute.
- The seat of arbitration shall be Johannesburg, South Africa.
- The arbitration shall be conducted in English.
- The decision of the arbitrator(s) shall be final and binding.
This clause is consistent with the dispute resolution mechanism used in the Volunteer Agreement and applies equally to Micro Enterprises benefiting from the Linkedio service.
You also agree that your use of the Linkedio service is subject to the following agreements, which are hereby incorporated by reference:
By using the Linkedio service, you acknowledge and confirm that you are bound by the terms of these agreements.
9. Binding Agreement by Use or Submission
By submitting any application (including volunteer, donor, micro enterprise, or service provider applications), or by registering, accessing, using, or benefiting from the GroWorth or Linkedio services in any form, you irrevocably agree to the terms of the applicable online agreements published by GroWorth Trust. These include, but are not limited to the above mentioned legal agreements.
Your continued access to any service, platform, or opportunity provided by GroWorth constitutes legal acceptance of all such terms and any amendments posted thereafter. If you do not agree to any of these terms, you must not engage with or benefit from our services.
If you do not agree to these terms, do not complete the registration or use the services.
