Volunteer Agreement – GroWorth Trust

Effective Date: 25 April 2025

 

Parties:

This Volunteer Agreement (“Agreement”) is entered into between GroWorth Trust, a registered Public Benefit Organization (PBO No. 930082699), having its principal office at [insert address] (“GroWorth”), and the undersigned individual (“Volunteer”).

 

1. Purpose and Scope

The Volunteer agrees to contribute time, skills, and services to GroWorth in areas such as, but not limited to: advisory, legal, technical development, fundraising, marketing, event coordination, training, and operational support. The Volunteer understands this is a voluntary and unpaid engagement.

 

2. Acceptance of Terms

By submitting a volunteer application, registering on any GroWorth or Linkedio platform, or accepting any assignment, task, request, or communication indicating participation in GroWorth-supported work, the individual acknowledges, accepts, and agrees to be bound by this Volunteer Agreement, available exclusively online at https://groworth.io.

No separate physical signature or document acceptance is required unless specifically requested by GroWorth. The act of volunteering constitutes default and irrevocable acceptance of these terms.

 

3. Compliance and Conduct

The Volunteer agrees to:

  • Abide by GroWorth’s internal policies, including data protection, fundraising ethics, financial accountability, and public representation guidelines.
  • Uphold the standards of a Public Benefit Organization as defined under South African and applicable international nonprofit legislation.
  • Comply with any reasonable instructions, time reporting obligations, and activity reviews.

 

4. Confidentiality

During and after their service, the Volunteer shall:

  • Not disclose or use any confidential or proprietary information of GroWorth or its partners.
  • Return or destroy confidential material upon request.

 

5. All Intellectual Property (IP)

The Volunteer agrees that:

  • All work, ideas, content, inventions, designs, code, documents, processes, materials, or other outputs developed during the term of volunteer service (“Work Product”) are the sole and exclusive property of GroWorth Trust.
  • The Volunteer assigns all rights, title, and interest in and to the Work Product (including all copyrights, trade secrets, trademarks, and patents) to GroWorth without further compensation.
  • GroWorth may use, publish, distribute, modify, and license the Work Product freely in any format or platform without restriction or attribution.

 

6. No Employment Relationship

This Agreement does not constitute an employment, partnership, or contractor relationship. The Volunteer shall not represent themselves as an employee, agent, or representative unless explicitly authorized.

 

7. Termination

Either party may terminate this agreement at any time with written notice. Upon termination, the Volunteer must return all assets, documents, and materials belonging to GroWorth.

 

8. Limitation of Liability

GroWorth shall not be liable for personal injury, loss, or damage arising from the Volunteer’s engagement unless such loss is due to gross negligence or willful misconduct by GroWorth.

 

9. Governing Law

Arbitration and Agreement Reference Clause

Dispute Resolution & Arbitration

Any disputes arising out of or relating to this agreement, including its interpretation, breach, termination, or validity, shall first be attempted to be resolved amicably through negotiation. If such negotiation fails within thirty (30) days, the dispute shall be submitted to binding arbitration administered by an accredited arbitration body in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA) or another mutually agreed arbitration body. The arbitration shall take place in Johannesburg, South Africa, in English, and the decision of the arbitrator shall be final and binding on all parties. Each party shall bear its own costs unless otherwise awarded by the arbitrator.

10. Binding Agreement by Use or Subscription

 

By submitting any application (including volunteer, donor, micro enterprise, or service provider applications), or by registering, accessing, using, or benefiting from the GroWorth or Linkedio services in any form, you irrevocably agree to the terms of the applicable online agreements published by GroWorth Trust. These include, but are not limited to:

 

Your continued access to any service, platform, or opportunity provided by GroWorth constitutes legal acceptance of all such terms and any amendments posted thereafter. If you do not agree to any of these terms, you must not engage with or benefit from our services.

 

These documents form an integral part of our compliance and user service framework. Continued use or participation constitutes ongoing acceptance of the latest versions published online.

 

This Agreement is governed by the laws of South Africa. All disputes shall be subject to the exclusive jurisdiction of the courts of Johannesburg.
